1. Agreement to Terms
These Terms of Service ("Terms") govern your use of IponuInaud's website, services, and products (collectively, the "Service") operated by IponuInaud ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Service.

IponuInaud provides digital transformation and neural network solutions, including but not limited to:
- Artificial intelligence consulting and implementation
- Machine learning model development
- Data analytics and processing services
- Neural network architecture design
- Digital transformation consulting
- Technical training and support services
3. User Accounts and Registration
3.1 Account Creation
When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password and for maintaining the confidentiality of your account.
3.2 Account Responsibility
You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
3.3 Account Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, if you breach these Terms.

The Service and its original content, features, and functionality are and will remain the exclusive property of IponuInaud and its licensors. The Service is protected by copyright, trademark, and other laws.
5.2 Client Data and Intellectual Property
You retain ownership of all data, information, and materials you provide to us ("Client Data"). By using our Service, you grant us a limited, non-exclusive license to use Client Data solely for the purpose of providing services to you.
5.3 Work Product
Any custom solutions, models, or intellectual property developed specifically for you as part of our services ("Work Product") will be owned by you upon full payment, unless otherwise specified in a separate agreement.
6. Payment Terms
6.1 Fees and Payment
Fees for our services will be specified in separate service agreements or proposals. Payment terms are typically net 30 days from the invoice date unless otherwise specified.
6.2 Late Payment
Late payments may be subject to interest charges at a rate of 1.5% per month or the maximum allowed by law, whichever is less.
6.3 Refunds
Refund policies will be specified in individual service agreements. Generally, work completed cannot be refunded, but we will work with clients to resolve any service issues.
7. Privacy and Data Protection
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our Service. By using our Service, you agree to the collection and use of information in accordance with our Privacy Policy.
8. Confidentiality
8.1 Mutual Confidentiality
Both parties acknowledge that they may have access to confidential information. We agree to maintain the confidentiality of your business information and expect the same regarding our proprietary methods and technologies.
8.2 Data Security
We implement industry-standard security measures to protect your confidential information and data. However, no method of transmission over the Internet is 100% secure.
9. Service Level Agreements
9.1 Project Delivery
We strive to deliver projects on time and according to agreed specifications. Specific timelines and deliverables will be outlined in individual project agreements.
9.2 Support Services
Support services are provided during standard business hours (9 AM to 5 PM AEST, Monday through Friday, excluding Australian public holidays) unless otherwise specified in service agreements.
10. Limitation of Liability
10.1 General Limitation
To the maximum extent permitted by law, IponuInaud shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
10.2 Total Liability Cap
Our total liability to you for all damages arising out of or related to your use of the Service shall not exceed the amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You agree to defend, indemnify, and hold harmless IponuInaud from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your breach of these Terms or your use of the Service.
12. Termination
12.1 Termination by Either Party
Either party may terminate service agreements with 30 days written notice. Specific termination terms may be outlined in individual service agreements.
12.2 Effect of Termination
Upon termination, your right to use the Service will cease immediately. We will provide reasonable assistance in data transfer and transition, subject to additional fees if significant effort is required.
13. Governing Law
These Terms shall be interpreted and governed by the laws of Western Australia and the Commonwealth of Australia. Any disputes arising from these Terms will be subject to the jurisdiction of the courts of Western Australia.
14. Dispute Resolution
14.1 Informal Resolution
We prefer to resolve disputes through informal negotiation. Please contact us first to discuss any concerns or disputes.
14.2 Mediation and Arbitration
If informal resolution is not possible, disputes may be resolved through mediation or arbitration in Western Australia, in accordance with the rules of the Australian Centre for International Commercial Arbitration.
15. Force Majeure
We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, or government regulations.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will continue to be valid and enforceable.
17. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

19. Entire Agreement
These Terms of Service, along with our Privacy Policy and any service-specific agreements, constitute the complete agreement between IponuInaud and you concerning the Service.
